Counselor Subscription Terms

The commercial terms for Pathly Counselor plans: what each plan includes, how billing and renewal work, how to cancel, and what happens to data when a subscription ends. These sit on top of the Terms of Service and are paired with the Counselor Data Processing Addendum.

The short version

This box is a plain-language summary. It is not part of the Terms, and the numbered sections below control.

  • Seven-day free trial, card required. Cancel before it ends and you are not charged.
  • Subscriptions renew automatically until you cancel. Cancel any time from account settings.
  • Fees are not refundable. Cancelling stops the next charge and you keep access through the period you already paid for.
  • When your subscription ends you can export your own notes and client list for 30 days. You cannot export student data, because it is not yours.
  • Your students keep their free Pathly accounts either way.

01 Scope

These Counselor Subscription Terms (the "Subscription Terms") govern paid Pathly Counselor plans. They form an agreement between Pathly Labs, Inc., a Delaware corporation ("Pathly," "we," "us"), and the individual or entity that subscribes ("you," "Counselor").

They incorporate the Pathly Terms of Service and the Counselor Data Processing Addendum. Where these Subscription Terms conflict with the Terms of Service, these control for your subscription. Where they conflict with the Counselor DPA on the handling of data, the DPA controls.

You accept these Subscription Terms when you start a trial or complete checkout.

02 Who can subscribe

Counselor plans are for professional use by independent educational consultants, private counselors, coaches, and advising practices. They are not for students or families. Students use Pathly free and never need a subscription.

You must be at least 18. If you subscribe for a firm, you represent that you have authority to bind it.

Schools, districts, and other institutions are served by a separate Partner School agreement rather than these Subscription Terms. Write to partnerships@pathly.com.

3.1 Annual billing

Annual plans are discounted 20% against the monthly rate and are charged once, in advance, for the full year. The exact amount is shown before you complete checkout, and that displayed amount is what you are agreeing to pay.

3.3 Taxes

Prices exclude sales, use, and similar taxes. Where we are required to collect them, they are added at checkout and shown before you pay.

04 Counselor seats

  • A seat is one named individual. Seats are not shared, and credentials are not shared. Section 5.3 of the Counselor DPA covers this.
  • You may reassign a seat to a different person when someone leaves your practice. You may not rotate a single seat among several active users.
  • Additional seats beyond those included are available on Group and Enterprise plans. Pricing is shown in your account.
  • You are responsible for removing a seat promptly when someone no longer needs access.

05 Active students

An active student is a student whose Pathly account is currently connected to your Counselor account. A student who has disconnected, or whom you have removed from your roster, does not count.

  • Your plan includes the number of active students in the Section 3 table.
  • You can add capacity beyond that at the additional student rate for your plan, either at checkout or later from your account.
  • If you reach your limit, you can add capacity to connect more students. We do not silently charge you for going over.
  • Capacity added mid-period is prorated for the remainder of that period, then billed in full at renewal.
  • Reducing capacity takes effect at your next renewal. See Section 9.1.

Students are never charged and never lose access because of your plan limits. A student you cannot connect still has a free Pathly account.

06 Free trial

Read this part carefully

The trial runs 7 days and requires a card. If you do not cancel before the trial ends, your subscription starts automatically and the card on file is charged the first period's fee. Cancel any time during the trial from account settings and you will not be charged anything.

  • We email you before the trial ends.
  • One trial per person or practice. We may decline a trial to anyone who has had one.
  • Trials are not available on Enterprise plans.
  • Everything in these Subscription Terms applies during the trial.

07 Billing and renewal

7.1 Automatic renewal

Your subscription renews automatically until you cancel. Monthly plans renew every month on the anniversary of your start date. Annual plans renew every year on that anniversary. Each renewal charges the payment method on file at the then-current rate for your plan.

7.2 Notice before an annual renewal

For annual plans, we email you at least 30 days before each renewal with the renewal date and the amount. That gives you a clear window to cancel if you do not want to continue.

7.3 Payment

Payments are processed by Stripe. Pathly does not receive or store your full card number. Fees are charged in US dollars in advance of each period.

7.4 Failed payments

If a charge fails, we will retry and email you. If it is still unpaid after 10 days, we may suspend your dashboard access until payment succeeds. Suspension does not cancel your subscription and does not stop fees accruing. If it remains unpaid after 30 days, we may terminate the subscription under Section 11.

7.5 Price changes

We may change prices. We will email you at least 30 days before a change takes effect, and it applies at your next renewal, never mid-period. If you do not want to pay the new price, cancel before that renewal.

7.6 Keep your details current

You are responsible for keeping a valid payment method and a working email address on your account. Notices under these Subscription Terms go to that address.

08 Cancellation

8.1 How to cancel

Cancel any time from account settings, in the same number of steps it took to subscribe. No phone call, no email required, no retention conversation. If you cannot reach your settings for any reason, email billing@pathly.com and we will process it.

We send a confirmation email when a cancellation is processed. If you do not receive one, assume it did not go through and contact us.

8.2 When it takes effect

Cancellation stops the next renewal. Your access continues through the end of the period you have already paid for. Cancelling on day 2 of a monthly period means you keep access for the rest of that month. Cancelling in month 3 of an annual plan means you keep access for the remaining 9 months.

8.3 No cancellation fee

There is no penalty or fee for cancelling, on any plan or term.

8.4 Downgrading

You can move to a smaller plan or reduce student capacity. Downgrades take effect at your next renewal, not immediately, and do not generate a refund for the current period.

09 Refunds

9.1 Fees are not refundable

All fees are non-refundable, including subscription fees, seat fees, and additional student fees. We do not refund partial periods, unused seats, unused student capacity, or time you did not use the service. This applies whether you cancel, downgrade, or simply stop using Pathly.

What you get instead of a refund is the access you paid for, in full, through the end of your period. See Section 8.2.

9.2 The exceptions

We will refund in these situations, and we will do it without argument:

The last four exist so that our right to change terms and vendors is not one-sided. If we change the deal, you can leave and get your unused money back.

9.3 Asking for one

Email billing@pathly.com within 60 days of the charge, with the account and the date. We respond within 10 business days. If we agree, refunds go back to the original payment method within 10 business days of approval.

9.4 Chargebacks

If you think a charge is wrong, contact us first. Opening a chargeback without contacting us may result in immediate suspension while it is resolved.

10 Data when your subscription ends

10.1 Students are unaffected

Student accounts are not deleted, suspended, or downgraded when your subscription ends. Students keep everything and continue using Pathly for free. Connections to your account dissolve, and connected students are told the connection has ended.

10.2 What you can take with you

For 30 days after your subscription ends, you can export your Counselor Practice Data: your notes, your tags, your client list, and your account records. After 30 days it is deleted from production systems within 30 days and purged from backups on the standard rotation.

10.3 What you cannot take with you

Student data does not leave with you

Once your subscription ends, you cannot export, download, or retrieve Student Account Data through Pathly. That includes assessment scores and tags, roadmaps, saved careers and colleges, career goals, GPA and test scores, and engagement history.

This is not a lock-in mechanism. It follows from how the platform is built. Student data belongs to the student, and your visibility into it existed only because that student connected you. When the connection ends, the basis for your access ends with it. A student can export their own data at any time and share it with whomever they choose, including you.

Student summaries, family-facing exports, and progress reports you generated during your subscription are yours to keep and are not clawed back. Continued use of them is governed by your own client agreements and Section 5 of the Counselor DPA, which survives the end of your subscription.

10.4 If you come back

If you resubscribe within 30 days, your practice data is still there. After that it is gone and cannot be recovered. Students will need to reconnect to you either way.

11 Suspension and termination by Pathly

We may suspend or terminate a subscription for non-payment under Section 7.4, for a breach of these Subscription Terms, the Terms of Service, or the Counselor DPA, for conduct that puts student data or platform security at risk, or where the law requires it.

Where it is safe and lawful, we will tell you what the problem is and give you a chance to fix it first. Termination for cause does not generate a refund. Termination without cause does, under Section 9.2.

13 Changes to these Terms

We may update these Subscription Terms. For a change that materially reduces your rights, we email you at least 30 days before it takes effect. If you do not accept it, cancel before the effective date and you get a pro-rata refund of prepaid, unused fees under Section 9.2. Continued use after the effective date is acceptance.

Price changes follow Section 7.5. Feature and plan changes follow Section 14 of the Terms of Service. Every version is dated and kept in the archive, and every change is listed in the changelog.

14 Everything else

Disclaimers, limitation of liability, indemnification, governing law, and dispute resolution are in the Terms of Service and apply here. Data handling is governed by the Counselor Data Processing Addendum and the Privacy Policy.
