These Terms of Service (“Terms”) govern your access to and use of Pathly’s platform and services, operated by Pathly Ltd Co (“Pathly,” “we,” “us,” or “our”).
By using Pathly, you agree to these Terms and to our Privacy Policy. If you are under 18, please review these Terms with your parent or guardian. Users under 13 may only participate with verified parental or school consent under COPPA.

2. Definitions
Services – The Pathly website, mobile experience, and related features that help students explore colleges, trades, certifications, careers, and other opportunities.
- User Content – Any data, text, images, goals, quiz responses, or other material you upload or create within Pathly.
- AI Recommendations – Guidance or suggestions generated by Pathly’s AI based on your inputs and profile.
- Sponsored Content – Educational or career-related material provided by verified partners and clearly labeled as such.
3. Acceptance of Terms
By accessing or using Pathly, you agree to these Terms. If you do not agree, do not use the platform.
If you use Pathly on behalf of a school, district, or organization, you represent that you have authority to bind that entity to these Terms.
4. Description of Services
Pathly helps high-school students explore future paths through personalized guidance, AI-powered recommendations, discovery of schools and scholarships, goal tracking, learning assessments, and optional sponsored resources.

5. Eligibility
You must be at least 13 years old to create an account. Users under 18 require verified parental consent. We may suspend or delete accounts lacking required verification or violating these Terms.
6. Your Responsibilities
You agree to provide accurate information, maintain account security, use Pathly respectfully, and notify us of unauthorized access.
You may not misrepresent your identity, access others’ data, upload harmful code, harass or discriminate, spam, scrape, or reverse-engineer the platform.
7. Content and Ownership
Your Content
You own your content. By submitting it, you grant Pathly a limited, worldwide, royalty-free, non-exclusive, transferable license to use, store, modify, display, and create derivative works from it solely to operate, improve, and enhance Pathly’s Services. You may delete your content at any time.
You are responsible for ensuring your content does not violate others’ rights or contain prohibited material.
Our Content
All intellectual property in Pathly—including design, AI systems, text, graphics, and software—is owned or licensed by Pathly Ltd Co. Copying, distribution, modification, or derivative use is prohibited without written consent. All rights are expressly reserved.
Third-Party Content
Pathly may link to outside scholarships, schools, or programs. We are not responsible for third-party content or terms; review them before engagement.
8. AI-Powered Recommendations
Pathly’s AI analyzes your profile and activity to suggest relevant programs and opportunities. These outputs are informational, not determinations. Pathly’s AI does not make decisions on your behalf, and your personal data is never used to train external models.
Sponsored or partner recommendations are always clearly labeled. You remain solely responsible for verifying any opportunity and making final decisions.
9. Privacy and Data Protection
Pathly complies with FERPA, COPPA, CCPA, and other privacy laws.
We never sell personal information, anonymize analytics, and allow parents full access to their child’s data.
Data is processed securely in the United States, and verified parental or school requests are honored within 45 days.

10. Fees and Future Services
Pathly is currently free to use. Certain optional sponsored or affiliate resources may appear but are never required.
If paid plans or subscriptions are introduced, Pathly will provide at least 30 days’ notice. Paid features will be optional, with clear terms and refund policies.
11. Termination
You may close your account at any time.
Pathly may suspend or terminate any account for violations of these Terms, security risks, or legal requirements.
After termination, access ends, but Pathly may retain anonymized or legally required data for research, compliance, or security. Licenses granted to Pathly continue only as needed for these legitimate purposes.
12. Platform Availability
We strive for continuous service but cannot guarantee uninterrupted access. Maintenance, updates, or outages may occur. Pathly may modify or discontinue features without liability, with reasonable notice when feasible.
13. Educational and Outcome Disclaimer
Pathly cannot guarantee admission to any school, award of scholarships, or job placement. The platform is a guidance tool and not a substitute for your own decisions or professional counseling.
14. Limitation of Liability
To the fullest extent permitted by law, Pathly Ltd Co and its officers, directors, employees, affiliates, and partners are not liable for indirect, incidental, special, consequential, or punitive damages, including loss of data or opportunity.
Pathly’s total liability for any claim shall not exceed the greater of $100 or the total fees you paid to Pathly (if any).
You assume full responsibility for use of the Services.
15. Indemnification
You agree to indemnify, defend, and hold harmless Pathly Ltd Co, its affiliates, and employees from any claim, loss, or expense (including reasonable attorneys’ fees) arising out of your content, your conduct, or any violation of these Terms.
16. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of South Carolina, USA, without regard to conflict-of-law rules.
Before filing a claim, both parties agree to attempt good-faith mediation in Charleston County. If mediation fails, disputes will be resolved exclusively in Charleston County courts, and you consent to their jurisdiction.
17. Accessibility
Pathly strives to meet WCAG 2.1 accessibility standards. If you encounter barriers, contact hello@joinpathly.com so we can assist and improve access.
18. Updates to These Terms
Pathly may revise these Terms as laws or services evolve. Significant changes will be announced by email or in-app notice. Continued use after such notice constitutes acceptance of the updated Terms.
19. Severability
If any part of these Terms is found invalid or unenforceable, the remaining provisions remain in effect.
20. Special Provisions for Minors
Users under 18 require verified parental consent. Parents or guardians may access, correct, or delete their child’s data at any time by contacting us.
If Pathly learns that a child under 13 has registered without proper consent, we will delete the account and data promptly.
Pathly partners with schools and families to ensure full compliance with FERPA, COPPA, and related state laws.
